Dell is a global technology company that, in addition to manufacturing and selling computer equipment, offers financial and leasing services to facilitate their acquisition. In Mexico, to ensure the legal robustness of its financing contracts—especially in the event of potential litigation—it signed all documents by hand and had them notarized by a public broker. Although this process offered legal certainty, it involved a high operational burden that caused delays.
These computer equipment leasing contracts were particularly complex: they included detailed equipment lists, technical annexes, and in some cases, installation services, as well as assignment of rights agreements that functioned as promissory notes. Due to their level of technical and operational detail, they had to be reviewed and approved by various departments—Legal, IT, and Security—and some exceeded 70 pages and required up to five signatories.
